What This Means (2025 FDD)
According to Body20's 2025 Franchise Disclosure Document, the opening deadline for a Body20 studio can be extended under certain conditions. The standard timeframe to complete construction and open a studio is 270 days from the Effective Date. However, Body20 may grant an extension in writing at their sole discretion.
If Body20 agrees to extend the opening deadline, it may require the franchisee to pay an extension fee. This fee is $2,500 for each month (or portion thereof) that the deadline is extended. Additionally, Body20 may require the franchisee to execute a general release as a condition of granting the extension. This implies that the franchisee would need to waive certain rights or claims against Body20 in order to receive the extension.
It's important to note that failure to open for business by the original Opening Deadline is considered an Event of Default under the Franchise Agreement. This could lead to potential penalties or termination of the agreement. Therefore, franchisees should carefully consider their construction timelines and communicate proactively with Body20 if they anticipate needing an extension. Franchisees should also be aware of the costs associated with an extension, including the extension fee and any potential legal implications of signing a general release.
For multi-unit development agreements, Body20 may also extend Signing Deadlines or Opening Deadlines, again at their sole discretion, and may condition this on payment of an Extension Fee of $2,500 per month (or portion of a month) and execution of a general release. Extensions apply only to the specific studios for which they are granted and do not impact other deadlines in the Development Schedule. However, if the delay is due to Body20's inability to provide a timely Franchise Disclosure Document, the Signing Deadline and Opening Deadline will be adjusted without requiring an Extension Fee or a general release.
