Is the Body20 license granted exclusive or non-exclusive?

Upon the terms and conditions of this Agreement, we grant to you a non-exclusive license (the "License") to operate one Studio using the Marks and the System.
The Studio will be located at a site to be mutually agreed upon subsequent to the execution of this Agreement, pursuant to Section 4.1 (Site Selection) (the "Site"), within the area set forth in Appendix A (the "Site Selection Area").
You have no right to (i) sublicense the Marks or the System to any other person or Entity, (ii) use the Marks or the System at any location other than the Site, or (iii) to use the Marks or the System in any wholesale, e-commerce, or other channel of distribution besides the operation of the Studio at the Site.

What This Means (2025 FDD)
According to Body20's 2025 Franchise Disclosure Document, the franchise license granted is non-exclusive. Specifically, Body20 grants the franchisee a non-exclusive license to operate one studio using the Body20 marks and system at a mutually agreed-upon site within a designated Site Selection Area. This means Body20 retains the right to license other franchisees or operate company-owned studios, potentially in the same general area, subject to certain territorial protections.
While the franchisee receives a Site Selection Area, territorial protection only applies within a defined Territory designated by Body20 after a site is accepted. Even with a Territory, Body20 and its affiliates can still operate or license others to operate Body20 studios at Non-Traditional Locations, such as gyms, military bases, or airports, both inside and outside the franchisee's Territory. Furthermore, Body20 can operate businesses offering similar services under different names and marks, even within the franchisee's Territory.
This non-exclusive arrangement carries implications for prospective franchisees. It means that Body20 can establish other outlets that may compete for the same customers, although some territorial protections apply. A prospective franchisee should carefully evaluate the defined Territory and the potential for competition from Non-Traditional Locations or other businesses operated by Body20 under different brands.
