What This Means (2025 FDD)
According to Body20's 2025 Franchise Disclosure Document, the "Interested Parties" in the context of confidential information include Body20 Franchisor, its affiliates, and the specific franchisee. This definition appears within the confidentiality agreement that employees and independent contractors of the franchisee must sign.
The confidentiality agreement mandates that individuals associated with a Body20 franchise cannot disclose confidential information to anyone outside the organization, except to these "Interested Parties." This confidential information encompasses manuals, trade secrets, know-how, methods, training materials, management procedures, marketing and pricing techniques related to the Body20 studio, the System, or Body20's business. It also extends to marketing, advertising, business, and financial plans, as well as member, employee, and independent contractor information.
This clause ensures that sensitive business data is protected and can be shared internally among Body20 Franchisor, its affiliates, and the franchisee without violating the confidentiality agreement. The agreement also reinforces that employees and independent contractors cannot claim ownership or rights to the confidential information and must return all records and information upon termination of their association with the Body20 franchise.
