We are a limited liability company formed in Delaware on April 1, 2025. We do business under the "BODY20® " name (the "Brand"). Our principal business address is 4000 MacArthur Blvd., Suite 800, Newport Beach, California 92660. If we have an agent for service of process in your state, we disclose that agent in Exhibit D.
We became the franchisor of BODY20® studios ("Studios") on April 4, 2025. While we have never owned a Studio, as of the date of this Disclosure Document, we operate one Studio under the terms of a management agreement with the applicable franchisee and have agreed to purchase that Studio in August 2025. Although we reserve the right to do so, we have not offered franchises in other lines of business. We have no business activities other than those described in this Item 1.

According to Body20's 2025 Franchise Disclosure Document, Body20 Franchisor LLC became the franchisor of Body20 studios on April 4, 2025. Prior to this date, BODY20 Global USA, LLC, served as the franchisor from March 2018 to April 2025. Body20 Franchisor LLC acquired substantially all of the assets relating to the operation of the studios from its predecessor under an asset purchase agreement dated April 4, 2025.
This transition of franchisor responsibilities is a significant event for prospective franchisees. It means that the current franchise agreement and operating procedures are under the purview of the new entity, Body20 Franchisor LLC. Franchisees should understand that the new franchisor may bring changes to the franchise system, based on their vision for the brand.
It is important to note that Body20 Franchisor LLC is a wholly-owned subsidiary of Sequel Brands, LLC. Sequel Brands Holdings LLC guarantees Body20 Franchisor LLC's performance under the franchise agreements. This corporate structure provides a layer of financial security for franchisees, as Sequel Holdings is obligated to ensure that Body20 Franchisor LLC meets its obligations under the franchise agreements. Additionally, Sequel Brands, LLC is the direct parent company to Pilates Addiction Franchisor LLC, Beem Franchisor LLC, and iFlex Franchisor LLC.
