What This Means (2025 FDD)
According to Body20's 2025 Franchise Disclosure Document, franchisees acknowledge Body20 or its affiliates as the owners of the Marks and Trade Dress. Franchisees recognize that they have no interest in them beyond the nonexclusive license granted in the Franchise Agreement. The agreement specifies that Body20 possesses the exclusive right and interest to the Marks and Trade Dress, including the goodwill associated with them. Upon the agreement's expiration or termination, no monetary amount will be attributed to goodwill associated with the franchisee's activities. This means a franchisee cannot claim ownership or rights to the brand's intellectual property or expect compensation for any goodwill they helped create during their franchise operation after the agreement ends.
Furthermore, the Body20 franchise agreement states that any and all present or future copyrights relating to the System or the Brand and related concept, including, but not limited to, the Manuals and marketing materials, belong solely and exclusively to Body20. This reinforces that franchisees cannot claim any ownership or rights to the copyrighted materials associated with the Body20 system, both during and after the franchise agreement.
These acknowledgements and stipulations are typical in franchise agreements to protect the franchisor's intellectual property and brand identity. Prospective Body20 franchisees should understand that their rights to use the Marks, Trade Dress, and Copyrights are strictly limited to the terms of the franchise agreement and do not extend beyond its expiration or termination. This ensures consistency and uniformity across all Body20 franchise locations and safeguards the brand's value and reputation.
