- C. We desire to grant to you the right to develop multiple Studios within the Development Area in accordance with the Development Schedule (defined below), provided that you also must execute our then-current standard franchise agreement (each, a "Franchise Agreement") for each such Studio, which will govern the development and operation of such business.
- D. You desire to develop multiple Studios within the Development Area in accordance with the Development Schedule and to timely execute Franchise Agreements to govern the development and operation of such Studios.
NOW, THEREFORE, for and in consideration of the foregoing premises and the mutual covenants and agreements contained herein, the parties hereby agree as follows:

What This Means (2025 FDD)
According to the 2025 Body20 Franchise Disclosure Document, the Development Agreement grants the developer the right to develop multiple studios within a specific area, but it requires the developer to execute Body20's standard franchise agreement for each studio. This franchise agreement then grants a non-exclusive license to operate a single studio using the Body20 Marks and System at an agreed-upon site.
The Body20 franchisee has no right to sublicense the Marks or System, use them at any location other than the approved site, or use them in any wholesale, e-commerce, or other distribution channel besides the studio operation. The franchisee's right to use the Marks and Trade Dress applies only to the studio operated at the designated site, including related advertising.
In practical terms, while the Development Agreement allows for area development, the actual right to use the Body20 Marks and System is granted through the separate Franchise Agreement for each specific studio location. This ensures that each studio operates under the standard terms and conditions set by Body20, and that the developer cannot use the Marks and System independently of an approved studio. The franchisee must adhere to Body20's written rules and obtain prior written approval for any materials displaying the Marks or Trade Dress.
