What This Means (2025 FDD)
According to Body20's 2025 Franchise Disclosure Document, Body20 claims copyrights to its advertising materials. Specifically, Item 14 states that Body20 claims copyrights with respect to its advertising materials and Manuals, as well as other materials it may periodically develop. Additionally, Section 7.1 indicates that Body20 or its affiliates will retain all copyrights relating to advertising materials that Body20 formulates, develops, produces, and conducts.
This means that as a Body20 franchisee, you must adhere to Body20's guidelines and obtain prior written approval for any materials displaying the Marks or Trade Dress. This approval can be revoked at any time with reasonable notice. Franchisees cannot use any advertising materials without Body20's permission, ensuring brand consistency and adherence to Body20's marketing strategies.
Furthermore, franchisees acknowledge that any copyrights used in the Studio belong solely to Body20 or its affiliates. Franchisees are required to notify Body20 in writing of any suspected infringement of these copyrights. Body20 retains exclusive rights to pursue infringement actions and control any related proceedings, protecting its intellectual property and brand integrity. This also means that Body20 is not obligated to defend or protect franchisees against copyright infringement claims or indemnify them for any losses incurred as a result of Body20's copyrights infringing on another copyright owner's rights. If requested by Body20, franchisees must discontinue the use of any subject matter covered by a copyright used in connection with the Studio.
These stipulations are typical in franchising, as franchisors like Body20 need to maintain control over their brand and marketing to ensure uniformity and protect their intellectual property. Franchisees benefit from the established brand recognition and marketing strategies but must comply with the franchisor's guidelines.
