What This Means (2025 FDD)
According to the 2025 Body20 Franchise Disclosure Document, the franchise agreement, along with referenced documents, constitutes the entire agreement between the franchisee and Body20. This means that any prior discussions, understandings, representations, or agreements regarding the Body20 studio are superseded by the terms and conditions outlined in the franchise agreement and its appendices.
The Body20 franchise agreement explicitly states that it can only be amended or modified through a written document signed by both parties. This requirement ensures that any changes to the original agreement are formally documented and agreed upon, preventing potential disputes arising from verbal agreements or understandings. However, Body20 can unilaterally change the manuals and any policies that they implement from time to time.
Furthermore, the FDD emphasizes that franchisees should not rely on any representations made by Body20 or its representatives that contradict the statements in the FDD or the terms of the franchise agreement. This provision aims to protect both the franchisee and Body20 by ensuring that all parties are bound by the written terms of the agreement and that no unauthorized promises or guarantees are made. This clause is reinforced by a compliance questionnaire that the franchisee must complete before signing the franchise agreement to confirm their understanding of the contract terms and that no unauthorized statements or promises have been made.
