ANALYSIS OF HISTORICAL GROSS SALES AND SELECTED COST INFORMATION FOR COMPANY-AFFILIATED BLACK BEAR DINER RESTAURANTS DURING FISCAL YEARS 2024 AND 2023
This analysis contains historical Gross Sales and selected cost information incurred in operating certain existing company-affiliated Black Bear Diner Restaurants. Written substantiation for the financial performance representation will be made available to the prospective franchisee upon reasonable request.
The Gross Sales and selected cost analysis were prepared based on the results of 65 affiliate owned and operated Black Bear Diner Restaurants that were open and operating during the full 2024 fiscal year ended December 25, 2024 and 63 affiliate owned and operated Black Bear Diner Restaurants that were open and operating during the full 2023 fiscal year ended December 27, 2023.
All of the company-affiliated Black Bear Diner Restaurants in this analysis offer substantially the same products and services that a franchised Black Bear Diner Restaurant will offer. While company-affiliated Black Bear Diner Restaurants in this analysis pay royalties and advertising contributions to us and make minimum local advertising expenditures similar to those required of a franchised Black Bear Diner Restaurant under the Franchise Agreement, the below analysis does not account for those amounts and instead we include a second chart of estimated amounts that you as a franchisee would incur for royalties (4.5% of Gross Sales), advertising contributions (1% of Gross Sales) and minimum local ad

What This Means (2025 FDD)
According to Black Bear Diner's 2025 Franchise Disclosure Document, the highest Gross Sales for company-affiliated restaurants during the fiscal year 2024 was $4,626,764. The lowest Gross Sales amount for company-affiliated restaurants in 2024 was $1,478,223. For franchised restaurants, the highest Gross Sales amount was $4,413,004, and the lowest was $1,469,335. Gross Sales include the total sales price of all food, products, and services, net of discounts and excluding taxes.
It is important to note that these figures are based on the performance of 65 company-affiliated restaurants that were open and operating during the entire 2024 fiscal year, which ended on December 25, 2024. The franchised restaurant sales information is derived from the franchisee's sales reports, and is unaudited and unverified. The FDD also indicates that 92 franchised Restaurants and 70 company-affiliated Restaurants were open and operating in the United States as of December 25, 2024. However, the financial performance representation excludes 3 franchise Restaurants that were newly opened during the fiscal year ended December 25, 2024 and therefore not open the full fiscal year, 3 franchise Restaurants located inside casinos, and 5 company-affiliated Restaurant that were newly opened during the fiscal year ended December 25, 2024 and therefore not open the full fiscal year.
Prospective franchisees should understand that these are historical figures and that individual results may vary. The FDD explicitly states that there is no assurance that a new franchisee will achieve the same sales or cost results. Black Bear Diner also states that they do not have full access to, or full confidence in, cost or EBITDA information that they may receive from time to time from their franchisees so as to have a reasonable basis to include their cost or EBITDA performance information with these Financial Performance Representations.
It is advisable for potential franchisees to conduct their own independent investigation of the costs and expenses they will incur while operating their Black Bear Diner restaurant. The FDD suggests that current or former franchisees listed in Exhibits F and G may be a source of information.
