Your rights under the Area Development Agreement are not dependent upon achievement of a certain sales volume or market penetration. However, if you fail to meet the dates contained in the Development Schedule then we may terminate your territorial exclusivity and the Area Development Agreement. In addition, upon the earlier of the expiration of the term of the Area Development Agreement or when you sign a Franchise Agreement for the last Franchised Restaurant to be developed within the Development Area, your exclusive rights under the Development Agreement with respect to the Development Area will terminate and we and our affiliates will have the right to operate and to grant to others development rights and franchises to develop and operate Franchised Restaurants within the Development Area. This right will be subject only to the territorial rights under the Franchise Agreements entered into by you for Franchised Restaurants in the Protected Area. You are not granted any other option, right of first refusal or similar right to acquire additional Restaurants in your Development Area under the Area Development Agreement.

According to Black Bear Diner's 2025 Franchise Disclosure Document, the exclusive rights under the Area Development Agreement terminate under specific conditions. These conditions include the expiration of the Area Development Agreement term or when the franchisee signs a Franchise Agreement for the final Black Bear Diner restaurant to be developed within the designated Development Area.
Upon either of these occurrences, Black Bear Diner and its affiliates reserve the right to operate or grant development rights and franchises to others for Black Bear Diner restaurants within the Development Area. This is only subject to the territorial rights granted under the individual Franchise Agreements for restaurants within a Protected Area. The Area Development Agreement does not grant any additional options, rights of first refusal, or similar rights to acquire additional restaurants in the Development Area.
For a prospective franchisee, this means that the exclusivity granted by the Area Development Agreement is temporary and tied to the development schedule and agreement term. Once the development obligations are fulfilled or the agreement expires, Black Bear Diner can expand within the area through other franchisees or company-owned stores, potentially increasing competition. The franchisee's protection then relies solely on the Protected Area defined in their individual Franchise Agreements, which typically covers a smaller radius around their specific restaurant location.
