What This Means (2025 FDD)
According to the 2025 Black Bear Diner Franchise Disclosure Document, the Development Agreement concludes when one of two events occurs first. The agreement ends either on the actual opening date of the last Black Bear Diner restaurant that the developer is required to open according to the Development Schedule, or on the last day of the final Development Period as outlined in the Development Schedule.
Upon the termination of the Development Agreement, the developer's exclusive rights to develop Black Bear Diner restaurants in the designated area automatically cease. The developer loses any further rights to establish or operate new Black Bear Diner restaurants if a Franchise Agreement has not already been executed by both the franchisor and the developer.
After the Development Agreement ends, Black Bear Diner is then entitled to establish new restaurants or license others to do so within the Development Area, except as specified under any existing Franchise Agreements between Black Bear Diner and the developer. The terms of each individual Franchise Agreement will take precedence in determining whether any default exists under that specific agreement, regardless of any defaults under the Development Agreement.
