Black_Bear_Diner Franchise · 2025 FDDAnswer from 2025 FDD Document
Area Development Agreement. In addition to awarding franchises for a single Black Bear Diner restaurant, we also grant qualified franchisees the option and right to develop multiple Franchised Restaurant(s) within a specific geographic area ("Development Area") over a specific time period according to a pre-determined development schedule. These franchisees will sign our Area Development Agreement in the form attached as Exhibit C to this disclosure document. Under the Area Development Agreement, you will sign a separate Franchise Agreement for each Franchised Restaurant you establish. The Franchise Agreement you sign will be the then-current form of Franchise Agreement we are offering to new franchisees. The size of the Development Area will vary depending upon local market conditions and the number of Franchised Restaurants to be developed.

What This Means (2025 FDD)
According to the 2025 Black Bear Diner Franchise Disclosure Document, the Area Development Agreement is included as an exhibit. Specifically, Item 1 states that qualified franchisees have the option to develop multiple Black Bear Diner restaurants within a specific geographic area over a set time period, according to a pre-determined development schedule. These franchisees will sign an Area Development Agreement, and the document indicates that the agreement is attached as Exhibit C to the disclosure document.
This means that prospective franchisees considering an Area Development Agreement with Black Bear Diner can review the exact terms and conditions of the agreement within the FDD. This is a standard practice in franchising, ensuring transparency and allowing potential developers to fully understand their rights and obligations before committing to developing multiple units.
The FDD also clarifies that under the Area Development Agreement, the franchisee will sign a separate Franchise Agreement for each restaurant they establish, using the then-current form of the Franchise Agreement offered to new franchisees. This highlights that the Area Development Agreement sets the stage for future individual franchise agreements, each of which will have its own specific terms.
