What This Means (2025 FDD)

According to the 2025 FDD, Bimbo Foods Bakeries Distribution requires its lessees to make rent payments that are absolute and unconditional. This means that the obligation to pay rent is not subject to any set-offs, counterclaims, or defenses. In other words, the franchisee cannot withhold rent payments due to any disputes or issues they may have with Bimbo Foods Bakeries Distribution, its affiliates, or any assignees of the lessor, including vehicle manufacturers. This condition applies regardless of any claims the franchisee might have, including those related to service and maintenance agreements.

This requirement places a significant financial responsibility on the franchisee. Even if the franchisee experiences problems with the leased equipment or has disagreements with Bimbo Foods Bakeries Distribution, they are still obligated to make timely rent payments. Failure to comply with this condition could result in penalties, such as late charges, or even constitute an event of default under the lease agreement.

Prospective franchisees should carefully consider this condition and ensure they have sufficient financial resources to meet their rental obligations, even in challenging circumstances. It is advisable to seek legal counsel to fully understand the implications of this clause and to assess the potential risks involved. Understanding this obligation is crucial for managing cash flow and maintaining a stable business operation as a Bimbo Foods Bakeries Distribution franchisee.
