What voting rights and privileges are granted to Bigfoot Forestry FAC members?

Bigfoot_Forestry Franchise · 2025 FDD

Answer from 2025 FDD Document

We may, but need not, establish regional advertising cooperatives for purposes of creating and/or purchasing advertising programs for the benefit of all Bigfoot Forestry Businesses located in the region.

We may: (a) determine the boundaries of the cooperative; (b) specify the manner in which the cooperative is organized and governed; (c) require the cooperative to be administered in accordance with written bylaws, organizational documents or other governing documents that we approve; and (d) require you to participate in the cooperative according to its rules and procedures and abide by its decisions.

You must pay a cooperative advertising fee on each royalty fee due date or such other date specified by the cooperative.

We may set the minimum cooperative advertising fee or we may allow the cooperative to set the fee based on majority vote of its members.

In either case, the fee will not exceed 2% of Gross Sales.

What This Means (2025 FDD)

I am unable to provide information on the voting rights and privileges granted to Bigfoot Forestry FAC (Franchise Advisory Council) members, according to the 2025 Franchise Disclosure Document excerpts provided. The excerpts do mention advertising cooperatives and the ability for Bigfoot Forestry to specify the manner in which the cooperative is organized and governed, including requiring written bylaws and organizational documents. However, the documents do not specify the voting rights of members.

As the franchisor may set the minimum cooperative advertising fee or allow the cooperative to set the fee based on a majority vote of its members, it is important for a prospective franchisee to understand how these votes are conducted and what rights each member has. The advertising fee will not exceed 2% of Gross Sales.

To fully understand the rights and privileges of FAC members, a prospective Bigfoot Forestry franchisee should ask the franchisor for specific details on the structure and governance of the Franchise Advisory Council, including any documents outlining member voting rights, how votes are conducted, and the process for making decisions within the cooperative.
