If the sale is not completed within 120 days after we receive the offer, or there is a material change to the terms of sale, we will again have the right of first refusal specified in this Section.

Our right of first refusal shall not apply to a Permitted Transfer.

What This Means (2025 FDD)

According to the 2025 Bigfoot Forestry Franchise Disclosure Document, Bigfoot Forestry has a right of first refusal if a franchisee decides to sell their franchise. If a franchisee intends to sell their franchise, they must first offer it to Bigfoot Forestry.

Bigfoot Forestry has 120 days to complete the sale after receiving the offer. If the sale is not completed within this time frame or if there are material changes to the terms of the sale, Bigfoot Forestry's right of first refusal is reinstated.

This right of first refusal does not apply to a Permitted Transfer. A Permitted Transfer includes transactions between existing owners, transfers to a new Developer Entity where the original owners maintain 100% ownership, or transfers of less than 20% of the Equity Interests, provided the Managing Owner retains at least 20% ownership. This clause ensures Bigfoot Forestry can maintain control over who joins their franchise system, while allowing some flexibility for internal restructuring or minor ownership changes.
