If the sale is not completed within 120 days after we receive the offer, or there is a material change to the terms of sale, we will again have the right of first refusal specified in this Section.
Our right of first refusal shall not apply to a Permitted Transfer.

What This Means (2025 FDD)
According to Bigfoot Forestry's 2025 Franchise Disclosure Document, Bigfoot Forestry retains the right of first refusal if a franchisee decides to sell their franchise. This means that if a franchisee receives an offer to purchase their Bigfoot Forestry business, they must first offer the franchise to Bigfoot Forestry on the same terms.
Bigfoot Forestry has 120 days to complete the sale after receiving the offer. If the sale is not completed within this timeframe or if there are material changes to the terms of the sale, Bigfoot Forestry's right of first refusal is reinstated.
However, this right of first refusal does not apply to Permitted Transfers, which are specific types of transfers defined in the FDD. A Permitted Transfer includes transfers between existing owners, transfers to a new Developer Entity wholly owned and controlled by the existing owners, or transfers of less than 20% of the Equity Interests in the Development Business or Developer Entity, provided the Managing Owner still owns at least 20% of the Equity Interests.
