We provide access to our confidential information through the Manual, training programs and other periodic support and guidance. You may use this information solely for purposes of developing, marketing and operating your Business in compliance with the Franchise Agreement and Manual. All information in the Manual is confidential. You may not disclose our confidential information to anyone other than your employees, on a need-to-know basis, without our prior permission. All your employees and independent contractors must sign the Confidentiality Agreement attached to the Franchise Agreement as ATTACHMENT "E" before you give them access to our confidential information (including all Project Managers and Service Technicians).
You must promptly notify us if you discover an unauthorized use of our proprietary information or copyrighted materials. We are not required to act, but will respond as we deem appropriate. You may not control any proceeding or litigation involving allegations of unauthorized use of our proprietary information or copyrighted materials. We have no obligation to indemnify you for any expenses or damages you incur as a result of any such proceeding or litigation. There are no infringements known to us at this time.

What This Means (2025 FDD)
According to Bigfoot Forestry's 2025 Franchise Disclosure Document, franchisees are granted a limited license to utilize the franchisor's confidential information. This information, which includes methods, techniques, policies, procedures, supplier lists, customer data, and marketing strategies, is accessible through the Manual, training programs, and ongoing support provided by Bigfoot Forestry.
The permitted use of this confidential information is explicitly restricted to developing, marketing, and operating the franchisee's Bigfoot Forestry Business. This usage must be in strict compliance with both the Franchise Agreement and the Manual, ensuring that the franchisee adheres to the established standards and procedures of the Bigfoot Forestry system.
Franchisees are prohibited from disclosing Bigfoot Forestry's confidential information to any third party, except for their own employees who have a legitimate need to know the information. Even then, such employees must first sign a Confidentiality Agreement, as outlined in the Franchise Agreement, to protect the franchisor's proprietary information. This includes all Project Managers and Service Technicians. Franchisees must promptly inform Bigfoot Forestry if they become aware of any unauthorized use of confidential information, though Bigfoot Forestry is not obligated to take any specific action in response.
