What This Means (2025 FDD)
According to the 2025 Bigfoot Forestry FDD, the franchisor ultimately owns the intellectual property associated with the franchise. The FDD defines Intellectual Property as encompassing Business Data, Copyrighted Materials, Improvements, Know-how, Marks, and the System used in the Bigfoot Forestry business.
The agreement stipulates that any improvements developed by a franchisee must be assigned to Bigfoot Forestry, which includes the right to grant sublicenses. If the law prevents the franchisee from assigning ownership, they must perpetually license the improvement to Bigfoot Forestry free of charge, granting full rights for use, commercialization, and sublicensing.
This assignment and licensing agreement ensures that Bigfoot Forestry maintains control over its brand and operational methods, allowing them to standardize and protect the system across all franchise locations. This is a common practice in franchising, allowing the franchisor to maintain consistency and protect the brand's reputation.
