What This Means (2025 FDD)

According to Bigfoot Forestry's 2025 Franchise Disclosure Document, Bigfoot Forestry has the right of first refusal if a franchisee intends to sell their business. If the sale is not completed within 120 days after Bigfoot Forestry receives the offer, or if there is a material change to the terms of sale, Bigfoot Forestry has the right of first refusal again.

This means that if a franchisee wants to sell their Bigfoot Forestry franchise, they must first offer the business to Bigfoot Forestry on the same terms as any other potential buyer. Bigfoot Forestry then has 120 days to decide whether to purchase the franchise. If Bigfoot Forestry declines or the sale doesn't happen within that timeframe and the franchisee changes the terms of the deal, the process restarts, giving Bigfoot Forestry another opportunity to buy the franchise.

This right of first refusal does not apply to a Permitted Transfer. This clause protects Bigfoot Forestry's interests by allowing them to control who enters their franchise system. It also ensures that Bigfoot Forestry has the option to acquire successful locations or prevent unwanted parties from becoming franchisees.
