3. BRAND PROTECTION COVENANTS.

  • (a) Intellectual Property and Confidential Information. You agree to: (i) refrain from using the Intellectual Property or Confidential Information in any capacity or for any purpose other than the operation of Franchisee's Bigfoot Forestry Business in compliance with the Franchise Agreement and Manual; (ii) maintain the confidentiality of the Confidential Information at all times; (iii) refrain from making unauthorized copies of documents containing Confidential Information; (iv) take all steps we reasonably require to prevent unauthorized use or disclosure of Confidential Information; and (v) immediately stop using the Intellectual Property and Confidential Information at such time that you are (or your spouse is) no longer an Owner. You agree to assign to us or our designee, without charge, all rights to any Improvement developed by you, including the right to grant sublicenses. If applicable Law precludes you from assigning ownership to us, then you agree to perpetually license the Improvement to us, free of charge, with full rights to use, commercialize and sublicense the same.

What This Means (2025 FDD)

According to the 2025 Bigfoot Forestry FDD, a franchisee's right to use the franchisor's intellectual property is subject to several limitations. The franchisee can only use the Intellectual Property for the operation of their Bigfoot Forestry Business in compliance with the Franchise Agreement and the Manual. This means the franchisee's use of the Intellectual Property is specifically tied to the approved methods and standards set by Bigfoot Forestry.

Bigfoot Forestry retains the right to engage in Acquisitions, even if the acquired company uses Bigfoot Forestry's Intellectual Property within the franchisee's territory. Additionally, Bigfoot Forestry has the exclusive right to enter into contracts with National Account customers, allowing them or other franchisees to provide services within the franchisee's territory for these national accounts. The franchisor also reserves the right to sell or license third parties to sell competitive or identical goods and services within the franchisee's territory through Alternative Channels of Distribution.

Furthermore, the franchisee must protect the confidentiality of the Intellectual Property and cannot make unauthorized copies of documents containing confidential information. They are also obligated to take steps to prevent unauthorized use or disclosure and must stop using the Intellectual Property if they cease to be an owner. Any improvements developed by the franchisee related to the Bigfoot Forestry business must be assigned or licensed to the franchisor, giving Bigfoot Forestry full rights to use and sublicense these improvements. These stipulations ensure that Bigfoot Forestry maintains control over its brand and system while allowing franchisees to operate under its established guidelines.
