What This Means (2025 FDD)

According to the 2025 Bigfoot Forestry FDD, if a franchisee becomes aware of a breach of a Confidentiality Agreement, they must take all steps that Bigfoot Forestry reasonably requires to prevent unauthorized use or disclosure of Confidential Information. Additionally, the franchisee must refrain from using the Intellectual Property or Confidential Information in any capacity or for any purpose other than the operation of the Bigfoot Forestry Business in compliance with the Franchise Agreement and Manual. The franchisee must also maintain the confidentiality of the Confidential Information at all times and refrain from making unauthorized copies of documents containing Confidential Information.

This requirement highlights the importance Bigfoot Forestry places on protecting its Intellectual Property and Confidential Information. Franchisees are not only responsible for maintaining confidentiality themselves but also for actively preventing unauthorized use or disclosure by others. The agreement defines Confidential Information broadly, including Know-How, Business Data, information in the Manual or comprising the System, terms of the Franchise Agreement, and other concepts, ideas, trade secrets, and financial information.

The obligations extend to refraining from using the Intellectual Property or Confidential Information outside the scope of operating the Bigfoot Forestry Business as outlined in the Franchise Agreement and Manual. This prevents franchisees from leveraging confidential information for personal gain or in ways that could harm the Bigfoot Forestry brand. The franchisee's duty to protect confidential information continues until they are no longer an owner.

These stipulations are typical in franchise agreements to safeguard the franchisor's proprietary information and maintain a competitive advantage. Prospective franchisees should carefully review the definition of Confidential Information and understand their obligations to protect it. Failure to comply with these requirements could result in penalties or legal action from Bigfoot Forestry.
