If we award you a franchise, you must sign the form of franchise agreement attached to this Disclosure Document as EXHIBIT "C" (the "Franchise Agreement"). We refer to the franchised business you purchase as your "Business" or your "Bigfoot Forestry Business". The Franchise Agreement grants you a license to use certain service marks, trademarks, trade names and logos, including the service mark BIGFOOT FORESTRY® and related logos (collectively, the "Marks"). The Marks also include our distinctive trade dress used to identify a Bigfoot Forestry Business, the equipment it uses or the products or services it sells. The Franchise Agreement also grants you a license to use our system that was developed for the operation of a Bigfoot Forestry Business (the "System"). Our confidential Brand Standards Manual (the "Manual") describes the operational aspects of a Bigfoot Forestry Business. You will operate your Business as an independent business using the Marks, the System, the information in the Manual, and the support, guidance and other methods and materials we provide.
Area Development Rights
If you satisfy our criteria for multi-unit developers, we may (but need not) offer you the right to sign the form of Area Development Agreement attached to this Disclosure Document as EXHIBIT "D" (the "ADA"). The ADA grants you the right and obligation to develop, open and operate multiple Bigfoot Forestry Businesses within a defined "development territory" according to a predetermined "development schedule". Each franchised territory is considered a separate Bigfoot Forestry Business. You must develop, open and operate all of the Bigfoot Forestry Businesses listed in the development schedule. We only grant area development rights to franchisees who commit to develop, open and operate a minimum of 3 Bigfoot Forestry Businesses. You must sign a separate franchise agreement for each Bigfoot Forestry Business you develop. Each franchise agreement will be our then-current form of franchise agreement, which may differ from the current form of Franchise Agreement attached to this Disclosure Document.

What This Means (2025 FDD)
According to the 2025 Bigfoot Forestry Franchise Disclosure Document, a prospective franchisee must sign the Franchise Agreement if awarded a franchise. The document included in the FDD as EXHIBIT "C" grants the franchisee a license to use Bigfoot Forestry's service marks, trademarks, trade names, and logos, including the BIGFOOT FORESTRY® service mark. It also licenses the Bigfoot Forestry's business system.
In addition to the standard Franchise Agreement, Bigfoot Forestry offers an Area Development Agreement (ADA) to multi-unit developers who meet specific criteria. This agreement, detailed in EXHIBIT "D", grants the developer the right and obligation to open and operate multiple Bigfoot Forestry Businesses within a defined territory according to a predetermined schedule. To qualify for an ADA, a franchisee must commit to developing a minimum of 3 Bigfoot Forestry Businesses.
It's important to note that even with an Area Development Agreement, a franchisee must sign a separate Franchise Agreement for each Bigfoot Forestry Business they develop. These individual franchise agreements will be the then-current form, which may differ from the sample Franchise Agreement included in the FDD. This means the terms and conditions could change between the time the ADA is signed and when each individual franchise agreement is executed, so prospective franchisees should carefully review the terms of both agreements and any updates.
