Answer from 2025 FDD Document

We reserve the right to acquire, or be acquired by, another business or chain that may sell competitive or identical goods or services, and those businesses may be converted into Bigfoot Forestry Businesses regardless of their location (an "Acquisition"). Any such acquired or converted businesses may provide Bigfoot Forestry Services under our Marks at job sites located within your territory and development territory (if applicable).

What This Means (2025 FDD)

According to Bigfoot Forestry's 2025 Franchise Disclosure Document, an "Acquisition" refers to Bigfoot Forestry acquiring, or being acquired by, another business or chain that may sell competitive or identical goods or services. These acquired businesses may then be converted into Bigfoot Forestry Businesses, regardless of their location. This is relevant to territorial protections because these acquired or converted businesses may provide Bigfoot Forestry services under Bigfoot Forestry's marks even at job sites located within a franchisee's territory or development territory.

This clause means that even if a franchisee has territorial protections, Bigfoot Forestry retains the right to diminish those protections through acquisitions. If Bigfoot Forestry acquires a competing business within a franchisee's territory, it can convert that business to a Bigfoot Forestry franchise, effectively creating competition within the franchisee's protected area. This is a significant risk for franchisees as it introduces uncertainty about the long-term exclusivity of their territory.

This type of clause is not uncommon in franchising, as franchisors often seek to maintain flexibility and growth opportunities. However, prospective franchisees should carefully consider the potential impact of such a clause on their business. It would be prudent for a potential franchisee to discuss with Bigfoot Forestry what their acquisition strategy is and how it might affect existing franchisees.
