    1. Fees. For each Big O Tires store operated by Franchisee User, Franchisee User shall pay a one-time implementation fee of $250 to Big O upon execution of this Agreement, and a monthly fee of $340 to Big O on the first day of each month, all of which may be charged by Big O to Franchisee User by Automatic Clearing House charge (or required by such other payment method as Big O may specify from time to time). In the event that Franchisee User lapses in its payment obligations to Big O under this SaaS User Agreement, Franchisee User will be in default of this SaaS User Agreement. Franchisee User shall also be responsible for paying to Big O any and all taxes (including but not limited to sales and/or use taxes, value added taxes, and stamp taxes), fees, tariffs, duties, or other similar levies imposed or required by any government, governmental unit or similar authority with respect to the fees made or payments received in connection with the Subscription Services. According to the 2025 Big O Tires Franchise Disclosure Document, a franchisee must pay a monthly fee for the Subscription Services. For each Big O Tires store operated by the franchisee, a monthly fee of $340 is due to Big O on the first day of each month. Big O may charge this fee to the franchisee through an Automatic Clearing House charge or another payment method specified by Big O.

In addition to the monthly fee, the franchisee is also responsible for a one-time implementation fee of $250 upon execution of the Subscription Services agreement. The franchisee must also cover any taxes, fees, tariffs, or duties associated with the Subscription Services payments. If the franchisee fails to meet their payment obligations, they will be in default of the SaaS User Agreement, and Big O may charge interest on past due fees at a rate of 12 percent per annum or the maximum rate allowable by law, whichever is lower. All fees paid are non-refundable.

Big O Tires sublicenses the non-exclusive right to use and access the Subscription Services to the franchisee, which must be used solely in connection with the operation of the franchisee's Big O Tires store. The Subscription Services are provided by Tekmetric, not Big O, and Tekmetric's Terms of Service apply to the franchisee's use of the services. If Big O receives any "Service Outage Credits" from Tekmetric, these credits will be applied against the fees owed by all affected Big O Tires store locations, with Big O allocating the credits as it deems appropriate after consulting with the Big O Franchise Advisory Counsel.
