What This Means (2025 FDD)
According to Bhc's 2025 Franchise Disclosure Document, an indemnification fee is payable by the franchisee to reimburse losses Bhc suffers from the operation of the franchisee's business. The amount of this fee will vary based on the specific circumstances and is incurred as needed.
Specifically, the franchisee must indemnify and hold harmless Bhc and its affiliates, including their respective directors, officers, employees, shareholders, agents, successors, and assigns. This covers any liability or damage they may incur, including reasonable attorney fees, due to claims, demands, costs, or judgments of any kind. These claims can arise from bodily injury or property damage connected with the franchisee's or their subfranchisees' negligent performance or actions related to the Master Franchise Agreement (MFA), any Subfranchise Agreements, Trademarks, IP Rights, Confidential Information, maintenance or operation of Master Franchised Bhc Restaurants, or any act of omission or commission by the franchisee, their subfranchisees, officers, directors, shareholders, or agents.
However, the franchisee is not required to indemnify Bhc in cases of gross negligence or willful misconduct by Bhc. The table provided in Item 6 of the FDD also lists 'Indemnification' as a type of fee, stating that the amount will vary under circumstances and is due as incurred. The remarks section clarifies that this fee is to reimburse losses Bhc suffers from the operation of the franchisee's business.
