What This Means (2025 FDD)

According to the 2025 FDD, Bhc is involved in the administration, development, operation, and licensing of businesses that operate franchised Bhc restaurants. These restaurants operate under Bhc's trademarks, using operational techniques, service concepts, and proprietary information. Bhc's activities aim to develop, maintain, and enhance its trademarks and business reputation.

Bhc supervises the franchise system and all Bhc retail locations, ensuring they operate according to the franchise agreements and the Bhc Operations Manual. Franchisees are required to sell Bhc products and other food and beverages specified in the authorized menu, along with related products and accessories from designated vendors. They must operate the franchised business strictly according to the procedures outlined in the Operations Manual.

To maintain the integrity and reputation of the Bhc system, franchisees must comply with the methodologies prescribed by Bhc for providing products to customers. Bhc may also recommend retail prices for specific products and services authorized for sale at the franchised restaurants, subject to applicable antitrust laws. This ensures uniformity in the delivery of goods and services and strengthens Bhc's brand in the market.
