Answer from 2025 FDD Document

"BHC Products" mean any product or service we authorize to be provided at BHC Restaurants under the System, as we may amend from time to time, with the understanding that any such products and services, including pre-packaged or ready-to-drink products and/or related merchandise or services, may only be offered to Affiliate Franchisees and Subfranchisees located within the Development Area, and not through any other distribution channels.

What This Means (2025 FDD)

According to Bhc's 2025 Franchise Disclosure Document, Affiliate Franchisees and Subfranchisees are restricted to offering Bhc Products only within their designated Development Area. The Master Franchise Agreement grants the right to grant subfranchises to third-party subfranchisees and to operate Affiliate Franchised Bhc Restaurants within the Development Area. Bhc Products, which include authorized products and services, can only be offered to Affiliate Franchisees and Subfranchisees located within this defined Development Area.

This means that as a Master Franchisee, you can only authorize the sale of Bhc Products through your subfranchisees or your own affiliated franchisees within the specific geographic boundaries outlined in your agreement. This restriction ensures that the market is controlled and that Bhc products are not distributed through unauthorized channels outside the Development Area.

This geographic limitation is a standard practice in franchising to maintain market control and prevent cannibalization between franchisees. Prospective Master Franchisees should carefully evaluate the Development Area offered by Bhc to ensure it aligns with their business goals and market analysis. Understanding the demographics and potential customer base within the Development Area is crucial for the success of the franchise.
