(a) At all times, and subject to applicable state law and regulations, Master Franchisee must be, or employ, a General Manager who will devote his or her entire time during normal business hours, as defined in the Operations Manual, to the management, operation, and development of the Franchised Business. The General Manager must ensure that Master Franchisee fulfill its obligations to Master Franchisee's customers in a timely and professional manner and he or she may not engage in any other business requiring his or her active participation during normal business hours. At least one Principal Equity Operator, with or through the General Manager, must participate personally in the direct operation of the Master Franchise Business.
(vi) Master Franchisee's Assignee agrees (A) a General Manager successfully trained by Franchisor must at all times be employed to operate the BHC Restaurant and (B) Franchisor's Initial Training program described in section 6.1 hereof and any other training or orientation programs then required by Franchisor will be satisfactorily completed by other necessary personnel within 30 days after the execution by Master Franchisee's Assignee of a Franchise Agreement, provided, however, Master Franchisee's Assignee must also agree to pay for all expenses related to this training, such as travel (at the rate in effect at the time of transfer); and
"General Manager" means the individual who has been designated by Master Franchisee as the person responsible for the day-to-day operation of the BHC Restaurant, and who has successfully completed "Initial Training" (as defined in this Article 1).
(a) It is critically important for Master Franchisee's General Manager and Principal Equity Operators to understand the Franchised Business and the System, and for Master Franchisee's General Manager and other key employees to have been trained how to operate the Franchised Business.
Accordingly, Franchisor will provide to Master Franchisee's General Manager and at least one of Master Franchisee's Principal Equity Operators, an initial training program prior to the opening of the BHC Restaurant, which lasts for six (6) days (a number of days may vary depending on the Master Franchisee's experience and needs as determined by Franchisor in its sole discretion) ("Initial Training"), providing an orientation to the System and instructions on how to operate the Franchised Business.
The fee for the Initial Training is $8,000 up to two (2) persons, excluding travel expenses ("Initial Training Fee").
Unless there are extenuating circumstances which, in Franchisor's reasonable determination, justify a delay (including Force Majeure), Master Franchisee's required trainees must attend the Initial Training offered by Franchisor.
Master Franchisee may not open and operate Master Franchised BHC Restaurant until Master Franchisee's General Manager has satisfactorily completed Initial Training.
Master Franchisee acknowledges and agrees only Franchisor may determine whether Master Franchisee's General Manager satisfactorily completes Initial Training.
- (b) The failure of Master Franchisee's General Manager to complete Initial Training to Franchisor's satisfaction will be grounds for termination of this Agreement; provided, however, before this Agreement is so terminated, Master Franchisee's General Manager who fails to successfully complete Initial Training will be offered the opportunity to retake Initial Training or Master Franchisee may send a replacement General Manager, approved by Franchisor, to the next available Initial Training program.

The General Manager's satisfactory completion of the Initial Training is crucial. Failure to do so can be grounds for termination of the Master Franchise Agreement. However, Bhc offers an opportunity to retake the training or send a replacement General Manager to the next available program. Only Bhc can determine whether the General Manager has satisfactorily completed the Initial Training. Furthermore, if the Master Franchisee assigns the agreement to another party, the assignee must employ a General Manager who has been successfully trained by Bhc.
