You are required to inform us immediately of a change of the General Manager of your business operation.
You or your General Manager must attend any annual meeting, convention or conference of franchisees and all meetings related to new products or product preparation procedures, new operational procedures or programs, training, management, sales or sales promotion or similar topics that we offer, at your own expense. As of the date of this Disclosure Document, we do not anticipate requiring franchisees to attend meetings for more than ten days during any calendar year. You are responsible for all related travel and living expenses associated with attending any additional meetings, conventions, or conferences.
As of the date of this Disclosure Document, the location, duration, frequency and content of any additional meetings, conventions, or conferences we require you and/or your General Manager to attend is
unknown and will depend on the frequency with which new products or services are introduced to the System.
Item 16: Restrictions on What the Franchisee May Sell
You must offer and sell all BHC Products and perform all services that we require for a BHC Restaurant. You may not offer or sell any products or perform any services that we have not authorized. We have the unlimited right to change the required and/or authorized products and services you may offer. You also may not offer for sale any BHC Products or other products through the Internet or other online programming or marketing. You are not otherwise limited in the customers to whom you may sell products or services.
In sum, you may purchase and otherwise use in the operation of your Master Franchise Business, only those products and services that we periodically require or approve, and you may not purchase, sell or use any unapproved products or services. In addition, you must ensure that your Affiliate Franchisee and your Subfranchisees offer and sell from their BHC Restaurants all of the products and services that we periodically require or approve, and ensure that they do not offer or sell from their BHC Restaurants any unapproved products or services. You also must ensure that your Affiliate Franchisee and your Subfranchisees do not use the premises of their BHC Restaurants for any purpose other than the operation of a BHC Restaurant. We have the unlimited right to change the System and other items, equipment and related accessories and other products and services you, your Affiliate Franchisee and your Subfranchisee may purchase, and otherwise use in the operation of your Master Franchise Business, and your Affiliate Franchisee and your Subfranchisees may offer and sell from or use at their BHC Restaurants.

What This Means (2025 FDD)
According to Bhc's 2025 Franchise Disclosure Document, either the franchisee or their General Manager must attend any annual meeting, convention, or conference of franchisees. Attendance is also required at all meetings related to new products or product preparation procedures, new operational procedures or programs, training, management, sales or sales promotion, or similar topics that Bhc offers. Bhc estimates these meetings will not exceed ten days during any calendar year.
In addition, attendance of at least one Principal Equity Operator at these meetings will be mandatory (and is highly recommended for your General Manager and all other Principal Equity Operators). The franchisee is responsible for all travel and living expenses associated with attending any additional meetings, conventions, or conferences. The location, duration, frequency, and content of any additional meetings, conventions, or conferences that Bhc requires the franchisee and/or their General Manager to attend is unknown and will depend on the frequency with which new products or services are introduced to the System.
After the Master Franchisee opens and begins operating the Franchised Business at the Franchised Bhc Restaurant, and upon reasonable notice, Bhc may require attendance of Master Franchisee's designated personnel at training courses, seminars, conferences, or other programs other than Initial Training or mandatory meetings that Bhc deem to be relevant or appropriate to the operation of the Franchised Business. Bhc specifies that only persons trained by Bhc or under Bhc's supervision will have overall responsibility for the operation of the Bhc Restaurant and Franchised Business, and that Master Franchisee will send its General Manager, Principal Equity Operators, and other manager-level employees to Bhc for additional training if Bhc requests this. All costs and expenses (including travel, hotel, and meal) of Master Franchisee's attendees at any post-opening training, additional training, conferences, or meetings will be Master Franchisee's sole responsibility. All persons attending post-opening training, conferences or meetings on Master Franchisee's behalf must have a demonstrable relationship to the management and operation of Master Franchisee's Franchised Bhc Restaurant.
