What This Means (2025 FDD)
According to Bhc's 2025 Franchise Disclosure Document, a master franchisee must promptly notify Bhc if they become aware of a subfranchisee potentially breaching confidentiality obligations regarding confidential information, infringing on intellectual property rights, or materially failing to comply with the subfranchise agreement. This requirement ensures that Bhc is quickly informed of any serious issues that could harm the brand or system.
Furthermore, the master franchisee has an ongoing responsibility to ensure that each subfranchisee complies with their subfranchise agreement at all times. If any breach of the subfranchise agreement or the master franchise agreement occurs, the master franchisee must promptly notify Bhc in writing, no later than fourteen days after the occurrence. This obligation highlights the master franchisee's role as a key intermediary in maintaining brand standards and legal compliance within their designated area.
The FDD also stipulates that any action or inaction by a subfranchisee that violates the terms of the master franchise agreement or any subfranchise agreement will be considered a breach of the master franchise agreement by the master franchisee. This provision underscores the significant liability and responsibility placed on the master franchisee for the conduct of their subfranchisees. It is crucial for prospective master franchisees to implement robust oversight and control mechanisms to manage their subfranchisees effectively and mitigate potential risks.
