What This Means (2025 FDD)

According to Bhc's 2025 Franchise Disclosure Document, franchisees are required to adhere to a standard menu format and menu items, including any new items introduced by Bhc. Any modifications, additions, or deletions to the menu format must receive written approval from Bhc before implementation at the franchised BHC Restaurant. Bhc retains the right to modify the standard menu format at any time. Franchisees are obligated to indemnify Bhc against any losses, damages, costs, or expenses, including attorney's fees, resulting from unauthorized changes to the standard menu or deviations from the descriptions in Bhc's approved menu.

This requirement ensures uniformity across all Bhc locations, maintaining brand consistency and customer expectations. Franchisees must sell BHC Products and other food and beverages specified in Bhc's authorized menu, along with related products and accessories, sourced from designated vendors and approved suppliers. This is to be done in accordance with the franchise agreement and the operations manual. Franchisees must operate their franchised business in strict adherence to the procedures outlined in the operations manual or as otherwise directed by Bhc in writing.

Maintaining uniformity extends to other aspects of the business, including the use of standard signs and formats prescribed by Bhc. Franchisees are also required to comply with Bhc's methodology for providing BHC Products to customers. Bhc may recommend retail prices for specific BHC Products and other authorized items, subject to applicable antitrust laws. This level of control allows Bhc to maintain brand standards and protect the integrity, reputation, and goodwill of the Bhc system and its trademarks.
