What This Means (2025 FDD)
According to Bhc's 2025 Franchise Disclosure Document, the recipes and procedures for "BHC Products" can be modified by the franchisor. "BHC Products" are defined as the Korean flavored fried chicken, side menus, beverages, and other products prepared according to Bhc's specified recipes and procedures. Bhc retains the right to modify and change these recipes and procedures from time to time.
This means that as a franchisee, you must adhere to the recipes and procedures as Bhc dictates, and these may change during the course of your franchise agreement. You do not have the freedom to alter the core product offerings or preparation methods without Bhc's authorization. This is a fairly standard practice in franchising, intended to maintain brand consistency and quality control across all locations.
The FDD also states that franchisees must operate their franchised business in accordance with the Operations Manual, which Bhc has the right to modify at any time by adding, deleting, or otherwise modifying the provisions. These changes become effective on the date designated by Bhc after delivery to the franchisee or when the digital copy on Bhc's website is updated. All such changes to the Operations Manual apply equally to all similarly situated Bhc franchisees.
Furthermore, to ensure consistency, service, and quality, franchisees must conform to the standards, operating procedures, specifications, and rules established by Bhc, including specifications as to ingredients, brand names, preparation, and presentation. Franchisees are required to purchase all products offered at their franchised BHC Restaurant, including products bearing any of the Marks, solely and exclusively from Bhc or Bhc's designated supplier. This reinforces Bhc's control over product standards and limits the franchisee's ability to deviate from approved recipes and procedures.
