For the purpose of determining compliance with the Bhc Development Schedule, what Master Franchised Bhc Restaurants will be counted toward the required number?

For purposes of determining compliance with the above Development Schedule, only the Master Franchised BHC Restaurants actually open and continuously operating for business as of a given date will be counted toward the number of Master Franchised BHC Restaurants required to be open and continuously operating for business.
Franchisor may defer a scheduled opening date in the table above if Franchisor determines, in its sole discretion, that Master Franchisee (or its Affiliated Entity) made a diligent effort to open a Master Franchised BHC Restaurant according to the schedule but was unable to do so for reasons beyond Master Franchisee's (or its Affiliated Entity's) reasonable control.

What This Means (2025 FDD)
According to Bhc's 2025 Franchise Disclosure Document, when determining if a Master Franchisee is meeting the required Development Schedule, only Master Franchised Bhc Restaurants that are actually open and continuously operating for business on a specific date will be counted towards the required number of restaurants.
This means that Bhc will only consider restaurants that are fully operational and serving customers when assessing whether a Master Franchisee has met their development obligations. Restaurants that are under construction, temporarily closed, or not yet open for business will not be counted.
However, Bhc may defer a scheduled opening date if it determines that the Master Franchisee (or its Affiliated Entity) made a diligent effort to open a Master Franchised Bhc Restaurant according to the schedule but was unable to do so for reasons beyond their reasonable control. This provides some flexibility for Master Franchisees who encounter unforeseen delays, but the ultimate decision to defer the opening date rests with Bhc.
