What This Means (2025 FDD)

According to Bhc's 2025 Franchise Disclosure Document, the minimum requirements for new subfranchisees and new Bhc Restaurants can be amended, replaced, or supplemented by Bhc from time to time. As a master franchisee, you are required to conduct an approval process, including a background check, to ensure that each potential subfranchisee and each potential Bhc Restaurant meets the current minimum requirements. Bhc also retains the right to approve or disapprove any or all potential subfranchisees and potential Bhc Restaurants at its sole discretion, providing written notice to you.

This means that while you, as the master franchisee, are responsible for the initial vetting and approval process, Bhc has the final say in who becomes a subfranchisee or operates a Bhc Restaurant within your development area. This ensures that all subfranchisees and restaurants meet Bhc's standards, which can change over time. It is important to stay updated on any changes to these requirements to ensure compliance.

Furthermore, the master franchisee is responsible for preparing and obtaining Bhc's prior written approval of the subfranchise agreement and any other related agreements. Once approved, these form documents cannot be modified without Bhc's prior written consent. These agreements must include terms and conditions consistent with the master franchise agreement and as prescribed by Bhc, including the maximum size of the territory granted under any subfranchise agreement. This ensures uniformity and consistency across all Bhc franchises and subfranchises.

Therefore, as a prospective master franchisee, it is crucial to maintain open communication with Bhc regarding any changes to the minimum requirements and to ensure that all subfranchise agreements and related documents are in compliance with Bhc's standards. This will help to avoid any potential conflicts or issues in the future and to maintain a successful and consistent brand image.
