What This Means (2025 FDD)

According to Bhc's 2025 Franchise Disclosure Document, if Bhc establishes an Intranet, the Master Franchisee must maintain an electronic connection with it. This connection must be maintained during all times that the Intranet is operational and until the termination of the Franchise Agreement. The specifications for this electronic connection will be detailed in the Operations Manual and are subject to Bhc's standards and specifications. This connection is required to allow Bhc to send and receive messages from the Master Franchisee.

This requirement ensures that Bhc can communicate effectively with its Master Franchisees and disseminate important information, such as updates to the Operations Manual or other confidential information. The Master Franchisee must ensure that the electronic connection meets the specifications outlined in the Operations Manual to facilitate this communication.

It is important to note that Bhc has full discretion and control over the Intranet, including its content and functionality. Bhc is not obligated to maintain the Intranet indefinitely and may dismantle it at any time without liability to the Master Franchisee. Therefore, while the electronic connection is required when the Intranet is operational, there is no guarantee that the Intranet will be maintained for the entire term of the franchise agreement.
