ster Franchisee's General Manager and Principal Equity Operators to understand the Franchised Business and the System, and for Master Franchisee's General Manager and other key employees to have been trained how to operate the Franchised Business. Accordingly, Franchisor will provide to Master Franchisee's General Manager and at least one of Master Franchisee's Principal Equity Operators, an initial training program prior to the opening of the BHC Restaurant, which lasts for six (6) days (a number of days may vary depending on the Master Franchisee's experience and needs as determined by Franchisor in its sole discretion) ("Initial Training"), providing an orientation to the System and instructions on how to operate the Franchised Business. The fee for the Initial Training is $8,000 up to two (2) persons, excluding travel expenses ("Initial Training Fee"). Unless there are extenuating circumstances which, in Franchisor's reasonable determination, justify a delay (including Force Majeure), Master Franchisee's required trainees must attend the Initial Training offered by Franchisor. Master Franchisee may not open and operate Master Franchised BHC Restaurant until Master Franchisee's General Manager has satisfactorily completed Initial Training. Master Franchisee acknowledges and agrees only Franchisor may determine whether Master Franchisee's General Manager satisfactorily completes Initial Training.

Bhc provides initial training programs to both Master Franchisees and their manager-level employees to operate a Bhc Restaurant. Bhc offers assistance to Master Franchisees before they commence operations, including providing the initial training program, access to manuals, and lists of suppliers. After operations begin, Bhc offers opening support, additional training for a fee, retraining programs for subfranchisee supervisors for a fee, reviews of annual business plans, manual updates, and supplier lists. However, Bhc does not assist Affiliate Franchisees in site selection or conforming premises to local ordinances. They provide a general plan for the restaurant layout, but the franchisee is responsible for architectural and leasehold improvement costs.

Bhc estimates that it will take one to three months from signing the Master Franchise Agreement to commence operating the Master Franchise Business. It estimates fourteen months between signing the agreement and opening an Affiliate Franchised Bhc Restaurant. Factors affecting this timeline include obtaining licenses, financing, permits, and completing initial training. Bhc does not deliver or install necessary equipment and fixtures. While Bhc has no obligation to conduct advertising, if they do, franchisees must pay a Marketing and Promotion Fee of 2.5% of monthly Gross Revenue, although this is not currently required until there are at least 50 Bhc Restaurants in operation.
