May Bhc independently access the Computer System and retrieve data?

We may independently access the Computer System and retrieve, analyze, download, and use all software, data and files stored or used on the Computer System.
- (v) We may access the Computer System through our intranet, in your, your Affiliated Franchisee's and your Subfranchisees' BHC Restaurant or from other locations.
You must, and ensure that your Affiliated Franchisee and Subfranchisee, Restaurant all data and information that we designate and report data and information in the manner we specify, including through our intranet or other online communications.

What This Means (2025 FDD)
According to Bhc's 2025 Franchise Disclosure Document, Bhc has the right to independently access the Computer System. Bhc can retrieve, analyze, download, and use all software, data, and files stored or used on the Computer System. Bhc may access the Computer System through its intranet, within the franchisee's BHC Restaurant, or from other locations.
This access allows Bhc to monitor and review the BHC Restaurants' operations, including sales data, consumer trends, food and labor costs, and other financial information. Franchisees are obligated to provide accurate and complete disclosure of their books and accounts and give Bhc direct access to any third parties through which revenue is generated, such as Uber Eats, Postmates, Eat24, and Door Dash. Bhc may also distribute the collected data on a confidential basis to its network of franchisees.
For a prospective franchisee, this means Bhc has comprehensive oversight of the restaurant's electronic data. The franchisee must ensure their computer systems are set up to allow this access and reporting. This level of access is fairly common in franchising, as it allows the franchisor to maintain brand standards, monitor performance, and provide support. However, franchisees should be aware of the extent of data access and how it will be used.
