What This Means (2025 FDD)
According to Bhc's 2025 Franchise Disclosure Document, franchisees are generally required to purchase all products, including those bearing Bhc's marks, exclusively from Bhc or its designated suppliers. Bhc provides franchisees with an 'Approved Suppliers List' and an 'Approved Supplies List,' which may specify required manufacturers or suppliers for particular items. Bhc retains the right to designate a required source for certain products and supplies, which could include Bhc itself or an affiliate. These lists may include specific products without naming a particular manufacturer or supplier, or they may outline the specifications and standards for approved products.
If a franchisee wishes to use an alternative supplier or product not yet approved by Bhc, they must notify Bhc in writing and submit sufficient information and samples for Bhc to assess compliance with its standards. Bhc will then provide written approval or disapproval, typically within 30 days. Franchisees are prohibited from using any product, supply, material, furnishing, or equipment that Bhc has not approved. Supplier approval hinges on factors like product quality, delivery reliability, service standards, financial capability, customer relations, and the supplier's willingness to offer consideration to Bhc or its affiliates for the right to do business with the Bhc system.
Bhc may inspect approved suppliers' facilities and products and revoke approval if they fail to meet Bhc's criteria and specifications. Franchisees or suppliers may need to reimburse Bhc for costs associated with testing and inspections, including travel and lodging expenses. While Bhc may negotiate prices for numerous products for the benefit of the system, it does not do so on behalf of individual franchisees. Bhc reserves the right to create a purchasing cooperative and require franchisee participation.
While the excerpts detail the process for product and supplier approval, they do not specifically mention 'Apron (BHC)' or whether its specifications are 'to be determined.' To clarify whether franchisees are obligated to purchase the 'Apron (BHC)' from a designated supplier, especially if the exact specifications are still pending, prospective franchisees should seek explicit confirmation from Bhc regarding the apron's required sourcing and specifications.
