What This Means (2025 FDD)

According to Bhc's 2025 Franchise Disclosure Document, a franchisee is required to purchase opening inventory from Bhc or its affiliates. Specifically, before opening a franchised BHC Restaurant, the franchisee must purchase an opening inventory of merchandise and supplies. This inventory must include certain proprietary products that the franchisee is required to purchase directly from Bhc or Bhc's affiliates.

This requirement ensures that Bhc franchisees start with the necessary products and supplies to meet the brand's standards. By mandating the purchase of proprietary products from approved sources, Bhc aims to maintain consistency and quality across all its franchise locations. This also allows Bhc to control the supply chain and ensure that franchisees are using products that meet the company's specifications.

In addition to the opening inventory, Bhc franchisees are obligated to purchase all products offered at their restaurants, especially those bearing Bhc's trademarks, exclusively from Bhc or its designated suppliers throughout the term of the agreement. Bhc will provide franchisees with a list of approved manufacturers, suppliers, and distributors, which may specify required sources for certain products or equipment. Bhc also reserves the right to designate a required source of supply for certain products, which may include Bhc itself or its affiliates. This comprehensive control over sourcing ensures uniformity and quality but may limit the franchisee's ability to negotiate better prices or source products locally.
