You must modify or discontinue the use of a principal trademark if we modify or discontinues it. What This Means (2025 FDD)

According to Bhc's 2025 Franchise Disclosure Document, franchisees are prohibited from directly or indirectly contesting Bhc's rights to its trademarks. This means a franchisee cannot challenge Bhc's ownership or use of its trademarks, trade secrets, or business techniques that are part of the Bhc business.

This restriction is a standard clause in most franchise agreements. It protects the franchisor's brand identity and intellectual property. If a franchisee were allowed to challenge the trademarks, it could create legal complications and potentially weaken the brand's value.

For a prospective Bhc franchisee, this means they must acknowledge and respect Bhc's ownership of its trademarks. Attempting to undermine or challenge these trademarks could result in a breach of the franchise agreement and potential legal action from Bhc. Franchisees benefit from a strong, protected brand, so this restriction aligns with maintaining brand integrity.

Bhc also states that if they modify or discontinue the use of a principal trademark, the franchisee must also modify or discontinue its use of the trademark. If this happens, Bhc will reimburse the franchisee for tangible costs of compliance, such as changing signs.
