To simplify the language, this disclosure document uses "we", "us" or "BHC" to mean BHC USA LLC, the franchisor. "You" means the individual, corporation, partnership, limited liability company, or other entity buying the BHC franchise. All persons who own not less than 5% of the voting right or equity interest in the master franchisee are "Principal Equity Operators".
(1) The Franchisor, Parents and Affiliates.
We are the franchisor. We were incorporated in California on 01/06/2022. Our principal business address is 3435 Wilshire Blvd., Suite 460, Los Angeles, CA 90010. We are wholly owned by our parent entity, Dining Brands Group Co, Ltd. (formerly known as BHC F&B Co., Ltd.), a South Korea corporation ("BHC Korea"). Its principal place of business is 19F, Lotte World Tower, 300, Olympic-ro, Songpa-gu, Seoul, Republic of Korea. BHC Korea owns the trademarks and the BHC USA LLC system. We are not controlled by, controlling, or under common control with any other entity that provides goods or services to our franchisees or offers franchises in any line of business.
(3) Name the Franchisor Used or Intends to Use.
We conduct business under the name "BHC USA", "BHC Chicken", or "BHC". We do not intend to use any other names to conduct business.
(6) The Franchisor's Business and Franchises Offered.
(i) Franchisor Operation of the Type Being Franchised.
BHC operates two (2) BHC Restaurants ("BHC-Owned Restaurants") of the type being franchised.
(ii) Franchisor's Other Business Activities.
Other than being the BHC franchisor, we do not engage in other business activities.
(iii) The Business the Master Franchisee Will Conduct.
We offer to qualified entities (each, a "Master Franchisee") the right to enter into a master franchise agreement with us ("MFA" or "Master Franchise Agreement") for the operation of a BHC master franchise business ("Master Franchise Business") within a specific geographic territory or territories (the "Development Area") using the Trademarks, System, and IP Rights (as these terms are defined below).
