What This Means (2025 FDD)
According to Bhc's 2025 Franchise Disclosure Document, Bhc has significant control over the Intranet if they choose to establish one. Bhc has full discretion and control over all aspects of any Intranet, including its content and functionality. This means Bhc can decide what information is shared, how it's presented, and what features are available to users. Bhc is not obligated to maintain the Intranet indefinitely and can dismantle it at any time without liability to franchisees.
If Bhc establishes an Intranet, franchisees must adhere to the standards, specifications, protocols, and restrictions set by Bhc. These standards may relate to various aspects, including the prohibition of abusive or offensive language, restrictions on communications that disparage Bhc or encourage breaches of franchise agreements, and the confidential treatment of materials transmitted via the Intranet. Bhc can also set password protocols, security precautions, and limitations on employee access to the Intranet. Furthermore, Bhc can suspend or revoke a franchisee's access to the Intranet based on established grounds and procedures.
As the administrator of the Intranet, Bhc can access and view any communication posted on it. The Intranet facility and all communications posted to it are considered Bhc's property, without any claims of privacy or privilege from franchisees. Franchisees must maintain an electronic connection with the Intranet that allows Bhc to send and receive messages, subject to Bhc's standards and specifications. This level of control allows Bhc to manage communications and information dissemination within the franchise system effectively.
