Franchisor will disclose to Franchisee certain Trade Secrets as reasonably needed for the operation by Franchisee of the Franchised Business by loaning to Franchisee, for the term of this Agreement, the Operations Manual and other written materials containing the Trade Secrets, through
training and assistance provided to Franchisee hereunder, and by and through the performance of Franchisor's other obligations under this Agreement.
Franchisor and Franchisee also have the right to disclose Trade Secrets in a document filed in a lawsuit or other proceeding, but only if the filing is made under seal and protected from public disclosure.

What This Means (2025 FDD)
According to Bhc's 2025 Franchise Disclosure Document, Bhc will disclose trade secrets to franchisees as needed for operating the franchised business. This disclosure will occur through several channels. Bhc will loan the franchisee the Operations Manual and other written materials containing trade secrets for the term of the agreement. Trade secrets will also be revealed through training and assistance provided to the franchisee, as well as through Bhc's performance of its obligations under the Franchise Agreement.
Bhc emphasizes that all proprietary information, including trade secrets, remains the sole property of Bhc. Franchisees only gain the right to use this information for their franchised Bhc Restaurant during the term of the agreement. Franchisees must keep all trade secrets confidential both during and after the agreement.
Bhc also has the right to disclose Trade Secrets in a document filed in a lawsuit or other proceeding, but only if the filing is made under seal and protected from public disclosure. Franchisees also have the right to disclose in confidence Trade Secrets to Federal, State, and local government officials, or to an attorney, for the sole purpose of reporting or investigating a suspected violation of law.
