We offer to qualified entities (each, a "Master Franchisee") the right to enter into a master franchise agreement with us ("MFA" or "Master Franchise Agreement") for the operation of a BHC master franchise business ("Master Franchise Business") within a specific geographic territory or territories (the "Development Area") using the Trademarks, System, and IP Rights (as these terms are defined below).

Under the MFA, you will be granted the right and license: (i) to grant subfranchises for the establishment and operation of BHC Restaurants, as defined below, within the Development Area ("Development Rights") to third party subfranchisees that meet our requirements ("Subfranchisees") by entering into Subfranchise Agreements (as defined below) ("Subfranchised BHC Restaurants"); and (ii) to directly own and operate through an affiliate of the Master Franchisee ("Affiliate Franchisee") ("Affiliate Franchised BHC Restaurants") within the Development Area once opened, and to support, and receive fees from, as applicable, all Master Franchised BHC Restaurants within the Development Area once opened ("Operating Rights").

"BHC Restaurant(s)" means a single retail dine-in, carry-out, drive-thru, and delivery restaurant, serving classic Korean flavor fried chicken (e.g., Korean cheese seasoning, Korean soy sauce, sweet & spicy sauce), sandwiches, wraps, Korean cuisines and other beverages, food, and related merchandise, products, and accessories, using designated concepts, designs, recipes, authorized equipment, and techniques.

What This Means (2025 FDD)

According to Bhc's 2025 Franchise Disclosure Document, a Master Franchisee is granted the right to operate a Bhc master franchise business within a specific geographic territory or territories, referred to as the "Development Area." This area is defined in the Master Franchise Agreement (MFA). Within this Development Area, the Master Franchisee has the right to grant subfranchises to third parties who meet Bhc's requirements, allowing them to establish and operate "Subfranchised Bhc Restaurants." The Master Franchisee also has the right to directly own and operate "Affiliate Franchised Bhc Restaurants" through an affiliate within the same Development Area.

The Master Franchisee's rights within the Development Area include both "Development Rights" and "Operating Rights." Development Rights pertain to the ability to establish Bhc Restaurants through subfranchising, while Operating Rights cover the direct ownership and operation of Affiliate Franchised Bhc Restaurants. The Master Franchisee is responsible for supporting and receiving fees from all Master Franchised Bhc Restaurants (both Affiliate and Subfranchised) within their Development Area once they are open.

To maintain these Development Rights, the Master Franchisee must adhere to a development schedule outlined in Item 12 of the FDD, which specifies the cumulative number of Master Franchised Bhc Restaurants (including both Affiliate and Subfranchised locations) that must be established and operated within the Development Area by certain dates. Furthermore, the Master Franchisee must first establish and operate at least one Affiliate Franchised Bhc Restaurant within the Development Area before they can grant subfranchises to third parties. This ensures the Master Franchisee has direct operational experience with the Bhc system before expanding through subfranchising.
