What This Means (2025 FDD)

According to Bhc's 2025 Franchise Disclosure Document, the definition of 'Confidential Information' explicitly includes details about personnel, including their compensation. This means that as a franchisee, you are obligated to treat any information related to Bhc's personnel compensation as confidential. This encompasses not only current employees but also potentially extends to past and future employees.

This obligation extends to all technical and non-technical information related to finances, marketing, business plans, recipes, products, research, and know-how. It also includes data about customers, business partners, and any non-public information that could be used to the competitive disadvantage of Bhc. The breadth of this definition underscores the importance Bhc places on protecting its internal data and maintaining a competitive edge.

For a prospective Bhc franchisee, this means exercising extreme caution in handling any personnel-related data. This includes not only salaries and wages but also personnel files, performance reviews, and any other sensitive employee information. Breaching this confidentiality could have serious consequences, potentially leading to legal action or termination of the franchise agreement. It is crucial to establish robust internal controls and training programs to ensure all employees understand and adhere to these confidentiality requirements.
