What This Means (2025 FDD)

According to Bhc's 2025 Franchise Disclosure Document, the definition of "Confidential Information" is broad and encompasses various types of data and materials that are considered valuable and confidential by Bhc. This includes both technical and non-technical information related to the franchise's operations. For a prospective franchisee, understanding the scope of confidential information is crucial, as it dictates what information must be protected and not disclosed to unauthorized parties.

Specifically, the definition explicitly includes "forecasts, predictions, projections" within the scope of confidential information. This means that any business plans, financial forecasts, sales predictions, or market projections related to the Bhc franchise are considered confidential and must be safeguarded. This also extends to information concerning finances, financing and capital raising plans, accounting or marketing, business opportunities, and affiliate lists.

The inclusion of such a wide range of information under the umbrella of "Confidential Information" highlights the importance Bhc places on protecting its proprietary knowledge and business strategies. Franchisees must be diligent in maintaining the confidentiality of this information, as unauthorized disclosure could potentially harm Bhc's competitive advantage and business interests. This obligation extends both during the term of the franchise agreement and even after its termination.

In addition to forecasts, predictions, and projections, the definition of confidential information also includes the Operations Manual, intellectual property, customer data, information about business partners, personnel information, and any other non-public information that could be used to the competitive disadvantage of Bhc. This comprehensive definition underscores the need for franchisees to implement robust security measures and training programs to ensure that all employees and agents are aware of their obligations to protect confidential information.
