What This Means (2025 FDD)

According to Bhc's 2025 Franchise Disclosure Document, the definition of "Confidential Information" includes details regarding customers and potential customers of the Franchised Business. Specifically, this encompasses customer lists, names, needs or desires related to the products or services offered, contracts and their contents, the type and quantity of products and services provided or sought, and other non-public information about customers and potential customers. This broad definition emphasizes the importance Bhc places on protecting customer-related data.

For a prospective Bhc franchisee, this means that any information related to customer preferences, purchasing habits, or specific requests is considered confidential and must be protected. This obligation extends not only to current customers but also to potential customers. Franchisees must ensure that their employees are aware of and adhere to these confidentiality requirements to avoid any breach of the franchise agreement.

The inclusion of customer needs and desires within the definition of Confidential Information highlights the sensitivity of this data to Bhc. Franchisees must implement appropriate measures to safeguard this information, such as secure data storage, restricted access to customer databases, and employee training on data protection protocols. Failure to comply with these requirements could result in penalties or termination of the franchise agreement. This is a common practice in franchising, as customer data is a valuable asset that contributes to the brand's competitive advantage.
