What This Means (2025 FDD)

According to Bhc's 2025 Franchise Disclosure Document, an 'Alternative Supplier' is defined as a supplier not yet approved in writing by Bhc. If a franchisee, affiliate franchisee, or subfranchisee proposes to use a supplier that hasn't been approved, they must notify Bhc in writing. Upon request, they must submit sufficient information, specifications, and samples for Bhc to determine if the supplier meets their criteria.

Bhc will provide written approval or disapproval within a reasonable time, typically 30 days. Franchisees must ensure that they, their affiliate franchisees, and their subfranchisees do not use any product, supply, material, furnishing, or equipment that Bhc has not approved. Supplier approval depends on various factors, including product quality, delivery frequency and reliability, service standards, financial capability, customer relations, and the supplier's willingness to pay Bhc or its affiliates for the right to do business with the Bhc system.

Bhc retains the right to inspect or re-inspect the facilities and products of any approved supplier and can revoke approval if the supplier fails to continue meeting their criteria and specifications. This process ensures that all suppliers meet Bhc's standards for quality and consistency, which is a common practice in franchising to maintain brand uniformity and protect the brand's reputation.
