- (c) Within 15 days after Franchisor's receipt of such notice (or if Franchisor requests additional information, within 10 days after receipt of such additional information), Franchisor may either (i) consent or withhold Franchisor's consent to such Assignment by Master Franchisee, in accordance with section 12.2 hereof, or (ii) at Franchisor's option, accept the Assignment by Master Franchisee itself or on behalf of Franchisor's nominee upon the terms and conditions specified in the notice.

What This Means (2025 FDD)
According to Bhc's 2025 Franchise Disclosure Document, the franchisor has a specific timeframe to respond to a Master Franchisee's notice regarding a proposed assignment. Bhc has 15 days to respond after receiving the initial notice from the Master Franchisee. This response can take one of two forms: either consenting to or withholding consent for the assignment, or exercising Bhc's option to accept the assignment themselves or through a nominee.
However, if Bhc requests additional information from the Master Franchisee, the response deadline changes. In this case, Bhc has 10 days to respond after receiving the requested additional information. Again, the response can be either consenting/withholding consent or exercising their right of first refusal.
It is important to note that if Bhc does not exercise its right of first refusal and consents to the assignment, the Master Franchisee has 60 days to complete the assignment under the terms specified in the original notice. Any material modifications to these terms, or the expiration of the 60-day period, will reinstate Bhc's right of first refusal, requiring the Master Franchisee to re-notify Bhc of the proposed assignment.
