The continuation of your franchise rights to the Development Area does not depend on your attaining a minimum level of sales, revenues or market penetration or another contingency. The continuation of your exclusive rights to develop Master Franchised BHC Restaurants under the MFA does depend on your meeting the development schedule described in the MFA. Neither the Development Area granted by the MFA, nor the development area described in the MFA may be altered except if you and we mutually agree. You will maintain rights to your Territory and the Development Area described in the MFA even if the population in those geographic areas increases.

What This Means (2025 FDD)
According to Bhc's 2025 Franchise Disclosure Document, the continuation of franchise rights to the Development Area does not depend on attaining a minimum level of sales, revenues, or market penetration, or any other similar condition. However, the continuation of exclusive rights to develop Master Franchised Bhc Restaurants under the Master Franchise Agreement (MFA) does depend on meeting the development schedule outlined in the MFA.
This means that as a Bhc franchisee, your right to continue operating in your designated area is not tied to specific sales targets or market share. This provides a degree of security and flexibility, allowing you to focus on building your business without the immediate pressure of meeting certain financial benchmarks to maintain your franchise rights.
However, it is crucial to adhere to the development schedule specified in the MFA to maintain your exclusive development rights. Failure to meet this schedule could result in the loss of these exclusive rights. Additionally, Bhc may terminate the MFA if you fail to meet the Development Schedule, fail to comply with any other terms and conditions of the MFA, make or attempt to make a transfer or assignment in violation of the MFA, or fail to comply with the terms and conditions of any individual MFA or of any other agreement to which you and Bhc or its affiliates are parties.
